1. Acceptance of Terms

By contacting VCells Miami (operated by Liantaud Holdings LLC) or using our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Description of Services

VCells Miami purchases used and pre-owned consumer electronics — including phones, tablets, laptops, and smartwatches — directly from customers. We are a mobile, service-area business: we come to you at a mutually agreed meetup location across South Florida. We do not operate a retail storefront, and customers do not visit us at any location.

3. Quotes and Final Pricing

All price quotes — whether provided by phone, text, chat, or otherwise — are preliminary estimates based on the information you share with us. The final offer is determined at the in-person meetup after we physically inspect the device, confirm its condition, verify functionality, and check lock or activation status. You are free to decline any final offer at no cost.

4. SMS / Text Messaging

By providing your phone number to VCells Miami (operated by Liantaud Holdings LLC), you consent to receive transactional and customer-care text messages related to your inquiry, quote, or transaction. Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time, or reply HELP for assistance.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing with subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

5. User Responsibilities

• You confirm that you are the lawful owner of any device you offer to sell and that you have the right to transfer it.
• You agree to provide accurate information about the device's condition, history, and any locks (iCloud, MDM, carrier, financing).
• You are responsible for backing up and wiping your personal data before the transaction. We are not responsible for any data left on a device.
• You must be at least 18 years old to sell a device to us.
• You agree not to attempt to sell stolen, fraudulent, or otherwise unlawfully obtained property.

6. Limitation of Liability

To the maximum extent permitted by law, VCells Miami and Liantaud Holdings LLC are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim arising out of or relating to a transaction is limited to the amount paid for the device in that transaction.

Once a transaction is completed and payment has been accepted, the sale is final.

7. Changes

We may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
